Terms of Service

1. Acceptance and Eligibility

By creating an account, signing in, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services.

2. Description of the Services

TradingFlow provides tools and data for option flow analysis, institutional tracking, market rank metrics, alerts, and related financial market information. The Services are offered on a subscription or free-trial basis as described on tradingflow.com. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, and we are not liable to you or any third party for any such change.

3. Account Registration and Security

You must provide accurate, current, and complete information when registering and must keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us promptly of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Services in any way that violates applicable laws, regulations, or third-party rights.
• Resell, sublicense, or redistribute the Services or any data provided through the Services except as expressly permitted by us.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except to the extent permitted by applicable law.
• Use automated means (e.g., bots, scrapers) to access the Services in a manner that exceeds normal use or that we have not authorized.
• Transmit malware, interfere with the integrity or availability of the Services, or attempt to gain unauthorized access to our or our users' systems or data.
• Use the Services to provide investment, legal, tax, or other professional advice, or to make any representation that our data or tools constitute such advice.

We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms or engaged in conduct that is harmful to the Services or other users.

5. Intellectual Property

The Services, including the TradingFlow name, tradingflow.com branding, software, design, text, graphics, and other content (excluding any third-party content or data we display), are owned by FLOWMAN LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. You do not acquire any ownership rights by using the Services. You may not use our trademarks or branding without our prior written consent.

6. Payment and Subscription

If you subscribe to a paid plan, you agree to pay all fees associated with your subscription in accordance with the pricing and billing terms presented at the time of sign-up or renewal. Fees are generally billed in advance and are non-refundable except as required by law or as otherwise stated in our refund policy. We may change our fees upon reasonable notice. Continued use of a paid Service after a fee change constitutes acceptance of the new fees.

7. Disclaimers

THE SERVICES AND ALL DATA, ALERTS, AND ANALYTICS PROVIDED THROUGH TRADINGFLOW ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. MARKET DATA AND ANALYTICS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE INVESTMENT, LEGAL, OR TAX ADVICE. YOU USE THE SERVICES AND ANY TRADING OR INVESTMENT DECISIONS AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWMAN LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless FLOWMAN LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. You waive any right to a jury trial and any right to participate in a class action.

12. Changes to the Terms

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on tradingflow.com and updating the "Last updated" date. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
